Contributor Agreement & Profile

This Contributor Release & License Agreement ("Agreement") is entered into between Dr. Karissa Thomas — individually, and together with her successors and assigns, including The Mosaic Way Advisory Group LLC (a company to be formed to produce the Project, operating under the assumed name "The Mosaic Way Films") (collectively, "Producer") — and the individual submitting creative content ("Contributor," "you," or "your").

PROJECT

"The Mosaic Way," including the feature film currently in development and related Mosaic Way productions, educational content, promotional materials, companion projects, exhibitions, publications, digital media, websites, social media content, and future derivative works (collectively, the "Project").

By signing this Agreement and submitting any footage, photography, music, sound recordings, written materials, spoken word recordings, artwork, illustrations, or other creative content (collectively, the "Content"), you agree to the following:

GRANT OF LICENSE

You grant Producer and its successors and assigns a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to use, reproduce, edit, adapt, modify, translate, synchronize, combine, distribute, publish, transmit, display, perform, exhibit, archive, and otherwise use the Content, in whole or in part, in connection with the Project and related activities, in any media now known or later developed.

This license includes, without limitation:

• Feature films
• Documentary films
• Short films
• Educational materials
• Websites and social media
• Promotional and marketing materials
• Festival screenings
• Television broadcasts
• Streaming platforms
• Publications and companion materials
• Exhibitions and presentations
• Future Mosaic Way projects

Producer shall have full editorial and creative discretion regarding the selection, placement, editing, adaptation, sequencing, juxtaposition, and contextual presentation of the Content. Contributor understands and agrees that the Content may be edited, altered, shortened, excerpted, combined or interleaved with other contributors' material, reordered, set to music or sound, overlaid with text or narration, translated, reinterpreted, or otherwise modified, and that it may be presented in a context, sequence, theme, tone, or meaning different from the setting, purpose, or intention in which it was originally created or submitted, all in accordance with the creative and artistic vision of the Project's director. The Project is an interpretive, artistic work, and Contributor acknowledges that the Content may appear in ways the Contributor did not originally anticipate.

Contributor retains ownership and copyright of the original Content.

REPRESENTATIONS AND WARRANTIES

Contributor represents and warrants that:

a. Contributor created and owns the Content or possesses all rights necessary to grant this license.

b. The Content does not infringe any copyright, trademark, publicity, privacy, contractual, or other proprietary rights of any third party.

c. All identifiable persons appearing in the Content have provided appropriate consent for recording, photography, and inclusion in the Project.

d. Contributor can provide releases or permissions upon request.

e. Any minor appearing in the Content appears in a lawful and non-exploitative manner and with documented parent or legal guardian consent.

f. The Content contains no sexual or abusive material involving minors.

g. The Content contains no unlawful, defamatory, fraudulent, threatening, hateful, or privacy-violating material.

h. Contributor possesses all necessary rights to any music, artwork, logos, trademarks, performances, or other protected material appearing in the Content.

SENSITIVE CONTENT

If Content addresses trauma, abuse, injustice, conflict, loss, hardship, or similar sensitive topics, Contributor represents that such material is presented ethically and lawfully and does not depict unlawful acts involving actual victims without appropriate documented consent.

CREDIT

If Producer elects to use the Content, Producer will make reasonable efforts to provide contributor credit by name and country where practical.

Contributor acknowledges that inadvertent credit omissions, formatting variations, technical errors, distributor requirements, platform limitations, or subsequent edits shall not constitute a breach of this Agreement.

NO OBLIGATION / NO COMPENSATION

Producer is under no obligation to use any submitted Content.

Unless otherwise agreed in a separate written agreement, Contributor understands that participation is voluntary and that no compensation, royalties, residuals, profit participation, licensing fees, or other payments shall be due now or in the future.

WAIVER OF APPROVAL

Contributor waives any right to inspect, review, approve, or disapprove the final Project, any edits, promotional materials, advertising, narration, captions, translations, contextual presentation, or any use of the Content.

MORAL RIGHTS WAIVER

To the maximum extent permitted by applicable law, Contributor waives any moral rights, integrity rights, attribution rights, or similar rights that may limit Producer's ability to edit, modify, adapt, or use the Content as permitted under this Agreement.

RELEASE OF CLAIMS

Contributor releases and forever discharges Producer, employees, contractors, agents, distributors, licensees, successors, assigns, sponsors, festival partners, broadcasters, exhibitors, and streaming platforms from any claims, demands, liabilities, damages, costs, or causes of action arising from the authorized use of the Content under this Agreement.

INDEMNIFICATION

Contributor agrees to defend, indemnify, and hold harmless Producer from and against any claims, liabilities, damages, losses, judgments, settlements, costs, and reasonable attorneys' fees arising from:

• A breach of this Agreement;
• Any inaccuracy in Contributor's representations or warranties;
• Any allegation that the Content infringes the rights of a third party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Any dispute arising under this Agreement shall be resolved exclusively in the state or federal courts located in Texas, and Contributor consents to the jurisdiction of those courts.

ELECTRONIC SIGNATURES

Electronic signatures and electronically submitted copies of this Agreement shall be deemed original signatures and shall be fully enforceable.

ASSIGNMENT AND SUCCESSORS

Producer may freely assign, transfer, or license this Agreement and all rights granted under it, in whole or in part, to any person or business entity, including The Mosaic Way Advisory Group LLC, the company being formed to produce the Project (operating under the assumed name "The Mosaic Way Films"), without further notice to or consent from the Contributor. This Agreement binds and benefits the parties and their respective heirs, successors, and assigns.

AMENDMENTS AND FUTURE UPDATES

Producer may revise, update, or amend this Agreement from time to time, including as the Project develops or as required for legal, production, or distribution reasons. The current version will be posted on the Project's website, and the most current posted version shall govern the Content and Contributor's participation. By signing below, Contributor acknowledges and agrees that this Agreement may be amended, that Contributor will be subject to such amendments, and that all Content submitted by Contributor shall remain licensed under the terms of this Agreement as amended from time to time, to the fullest extent permitted by applicable law.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding the submitted Content and supersedes any prior discussions, understandings, or communications concerning the subject matter herein.
